Welcome to Sellen.AI! These Terms of Use (the "Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Leanly, LLC ("Sellen.AI," "we," "us," or "our"), a Florida-licensed real estate brokerage (License Number: CQ1067201), with its official address at 2686 SW 28th Ln #1004, Miami, FL 33133.

By accessing, downloading, or using any portion of the Sellen.AI website (sellen.ai) or mobile application (collectively, the "Services"), you signify that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

1. Definitions

• AI-Assistant: Refers to the artificial intelligence powered tools and algorithms provided by Sellen.AI designed to assist homeowners in selling their property.

• Human Agents: Refers to the licensed real estate agents employed by or affiliated with Leanly, LLC, who provide human consultation and support.

• Services: Collectively refers to the Sellen.AI website, mobile application, and all features, functionalities, tools, and support provided therein, including those powered by AI and those involving human agents.

• User Content: Any data, information, photos, videos, listing descriptions, documents, disclosures, replies, communications, or other materials uploaded, submitted, or provided by you to the Services.

2. Services Description

Sellen.AI provides an AI-powered real estate brokerage service designed to assist homeowners in selling their residential property in Florida without a traditional listing agent commission. Our Services include, but are not limited to:

• AI-Generated Content: Our AI-Assistant generates answers to buyer questions, creates listing descriptions, analyzes real estate offers, and suggests counter-offers and terms. All communications with prospective buyers and buyer agents, including email, SMS, and voice recordings, may be generated by our AI agents.

• Human Agent Consultation: Licensed real estate agents provide consultation, review AI-generated content, supervise AI-generated answers, offer negotiation support, provide home preparation guidance, and assist with the closing process.

• User Content Upload: Users can upload their own home listing photos, videos, and listing descriptions. Users are also responsible for answering legal disclosure questions and inputting replies to prospect questions.

3. User Accounts and Eligibility

• Account Creation: To access and use our Services, you are required to create an account.

• Eligibility: You must be a homeowner of a residential property located in Florida and be at least 18 years of age to use our Services. Our Services are exclusively for the sale of residential properties.

4. Data Usage and AI Training

By using our Services, you explicitly authorize Leanly, LLC to collect, store, and use your data for the purpose of training and improving our algorithms and AI agents. This data may include, but is not limited to:

• Property details (e.g., address, features, characteristics)

• Listing descriptions and associated media (photos, videos)

• Pricing data, offers, and sales outcomes

• User interactions with the AI-Assistant

• Communication logs with AI agents and human team members (including email, SMS, and voice recordings)

• Replies to leads and prospects

• All other communications exchanged through the platform.

All data collected for AI training purposes will be aggregated and anonymized to protect your privacy. While we employ robust anonymization techniques, you acknowledge that no system can guarantee absolute anonymity. You understand and agree that you will not have any control over this data usage, nor will there be an option to opt-out or delete data specifically used for AI training after it has been anonymized and incorporated into our models.

5. Payment and Fees

Our Services are offered with Flat Fees, tiered by levels of service provided. Details regarding specific service tiers and associated fees will be provided separately. Please note that no refunds will be provided after your home is listed for sale through our Services.

6. Intellectual Property

• Sellen.AI Property: All content generated by our AI (e.g., listing descriptions, marketing materials, suggested replies) as part of the Services is and shall remain the sole and exclusive property of Leanly, LLC.

• User Content: By uploading, submitting, or providing any User Content to our platform, you grant Leanly, LLC a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, sublicensable, and transferable license to use, reproduce, distribute, display, perform, adapt, modify, and create derivative works of your User Content in connection with the operation of the Services and for any other business purposes, including but not limited to AI training, development, and marketing. You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to grant the foregoing license to Leanly, LLC.

7. User Conduct and Prohibited Activities

You agree not to use the Services for any purpose that is unlawful or prohibited by these Terms. You shall not:

• Use the Services for any illegal or unauthorized purpose, or in violation of any applicable local, state, national, or international law.

• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.

• Upload, post, or transmit any User Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.

• Upload, post, or transmit any User Content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party.

• Engage in any activity that interferes with or disrupts the Services or the servers and networks connected to the Services, including but not limited to transmitting worms, viruses, spyware, malware, or any other code of a destructive or disruptive nature.1

• Attempt to gain unauthorized access to any porti2on of the Services, other accounts, computer systems, or networks connected to the Services, through hacking, password mining, or any other means.

• Use any robot, spider, scraper, or other automated means to access the Services for any purpose without our express written permission.

• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services, use of the Services, or access to the Services for any commercial purposes without express written permission from Sellen.AI.

• Engage in any commercial use of the Services by non-homeowners or for purposes other than selling a residential property in Florida.

• Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Services to you.

8. Third-Party Links and Services

The Services may contain links to third-party websites, applications, or services (e.g., mortgage lenders, closing agents, inspectors, appraisers, syndication to other listing sites) that are not owned or controlled by Sellen.AI. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Sellen.AI shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

9. Disclaimers and Limitations of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WHILE WE MAKE OUR BEST EFFORTS TO TRAIN OUR AI-ASSISTANT TO GENERATE ACCURATE INFORMATION AND RESPONSES, YOU ACKNOWLEDGE AND AGREE THAT ARTIFICIAL INTELLIGENCE MAY OCCASIONALLY MAKE MISTAKES, INACCURACIES, OR ERRORS.

• AI Accuracy: Sellen.AI does not warrant the accuracy, completeness, or reliability of any AI-generated content or responses. You are solely responsible for supervising and verifying the accuracy of any responses generated by the AI-Assistant.

• Auto-Reply Feature: If you choose to enable any auto-reply features within the Services, you do so at your own risk. Sellen.AI is not responsible for any consequences, damages, or liabilities arising from the use of auto-reply features.

• No Professional Advice: The information provided by Sellen.AI through the Services, including AI-generated content and consultations with human agents, is for informational purposes only and does not constitute legal, financial, tax, or investment advice. You should consult with qualified independent professionals for advice tailored to your specific situation.

• Hold Harmless: You agree to hold Leanly, LLC, its affiliates, officers, directors, employees, agents, and licensors harmless from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with any mistakes or errors made by the AI-Assistant, or your reliance on AI-generated content. You expressly release any claims of liability against us for such errors.

• General Disclaimer: Sellen.AI disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

• Limitation of Liability: To the fullest extent permitted by law, Leanly, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party on the Services; (c) any content obtained from the Services; or (d) unauthorized access, use or alteration of your transmissions or content.

10. Indemnification

You agree to defend, indemnify, and hold harmless Leanly, LLC, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Services; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any claim that your User Content caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the Services.

11. Termination

• Termination by Sellen.AI: We may terminate or suspend your account and/or access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms, engage in fraudulent activity, fail to make timely payments, or engage in disruptive behavior.

• Termination by User: You may terminate your account at any time by contacting us at info@sellen.ai.

• Effect of Termination: Upon termination, your right to use the Services will immediately cease. Any listings associated with your account will be moved to a "withdrawn" status in the Multiple Listing Service (MLS), and we will have no further obligation to maintain or display such listings. Sections 4 (Data Usage and AI Training), 6 (Intellectual Property), 9 (Disclaimers and Limitations of Liability), 10 (Indemnification), 12 (Governing Law and Dispute Resolution), and 13 (Miscellaneous Provisions) shall survive any termination of these Terms.

12. Governing Law and Dispute Resolution

• Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

• Arbitration Agreement: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Miami, Florida before one arbitrator. The arbitration shall be administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

• Class Action Waiver: YOU AND LEANLY, LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and Sellen.AI agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

13. Miscellaneous Provisions

• Amendments to Terms: Sellen.AI reserves the right, at its sole discretion, to modify or replace these Terms at any time. We will provide notice of such changes by displaying a banner on our website and app. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.

• Entire Agreement: These Terms, together with our Privacy Policy and any other policies or guidelines referenced herein, constitute the entire and exclusive understanding and agreement between you and Leanly, LLC regarding the Services, and they supersede and replace any and all prior oral or written understandings or agreements between you and Leanly, LLC regarding the Services. No oral promises, representations, or inducements are binding.

• Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

• Equal Housing Opportunity: Sellen.AI is committed to and abides by the Fair Housing Act and Equal Opportunity Act.

Addendum: Sellen AI Services

This Sellen.AI Services Addendum ("Sellen.AI Services Addendum") is hereby incorporated into and is a part of the overall Agreement between you and Leanly, LLC. The terms of this Sellen.AI Services Addendum supplement the terms of the Agreement with respect to the Sellen.AI Services (defined below) and in the event any term of this Sellen.AI Services Addendum directly conflicts with a term of the Agreement, the term contained in this Sellen.AI Services Addendum will control. The Sellen.AI Services are offered by Leanly, LLC and by accessing, downloading, or using any portion of the Sellen.AI Services, you signify that you accept the terms of this Sellen.AI Services Addendum as between you and Leanly, LLC.

1. DEFINITIONS

1.1. "Agent" means a licensed real estate agent in the jurisdiction in which the agent is performing services.

1.2. "MLS®" means multiple listing service.

1.3. "Sellen.AI" means Leanly, LLC.

1.4. "Sellen.AI Agent" means an Agent employed or otherwise acting directly on behalf of Leanly, LLC pursuant to a written agreement between Leanly, LLC and the Agent. For clarification, Sellen.AI Agents do not include Agents participating in the Sellen.AI Partner Program.

1.5. "Sellen.AI Client" means a person who has entered into an agreement with a Sellen.AI Agent for the purpose of listing, selling, or buying a property in connection with the Sellen.AI Services.

1.6. "Sellen.AI Partner Program" means the partner program offered by Leanly, LLC for Agents who are not Sellen.AI Agents.

1.7. "Sellen.AI Services" means the Sellen.AI Sites and the services provided by or for Leanly, LLC through the Sellen.AI Sites that are not otherwise covered by the Sellen.AI Agent Agreements.

1.8. "Sellen.AI Sites" means sellen.ai and other websites and mobile applications through which Leanly, LLC may offer services.

All other capitalized terms will have the meaning as provided elsewhere in this Sellen.AI Services Addendum or in the Agreement.

2. SELLER.AI SERVICES TERMS

2.1. Separate Agreements. You are required to enter into a separate listing or buyer agreement to become a Sellen.AI Client and list your home or buy a home using the services of a Sellen.AI Agent (the “Sellen.AI Agent Agreements”). The Sellen.AI Agent Agreements may incorporate the terms of this Agreement by reference.

2.2. Who May Use the Sellen.AI Services. To use the Sellen.AI Services, you must be a resident of the United States.

2.3. Permissible Use of the Sellen.AI Services. Except as otherwise permitted under the Sellen.AI Partner Program, you acknowledge and agree that you are a homeowner or that you are an Agent acting directly on behalf of a homeowner.
